This position has the overall responsibilities of:
- Lead and oversee all legal, compliance, secretarial / corporate governance, and risk management responsibilities, ensuring adherence to Kenyan laws and regulations.
- Lead the drafting, review, negotiation, and management of contracts, MOUs, SLAs, leases, NDAs and all compliance requirements to protect the company’s interests.
- Provide timely legal and strategic advice to the CEO and Board to support informed decision-making and mitigate legal and regulatory risks.
- Manage secretarial / corporate governance, litigation, regulatory engagement, and intellectual property protection, oversee conveyancing, board and statutory filings and dispute resolution processes. Ensure complete and quality documentation, records registry.
- Ensure effective engagement with external counsel, regulators, and other stakeholders, and provide internal legal training and support to strengthen organizational compliance.

Duties and Responsibilities
- The Legal Officer is responsible and accountable for the following Core job elements:
- Draft, review, negotiate, and advise on contracts including MOUs, SLAs, leases, supply agreements, NDAs, and other legal instruments.
- Ensure protection of the organization’s intellectual property through registration and ongoing management of trademarks, copyright, industrial designs, patents and related rights.
- Ensure compliance with governance and statutory requirements under the Business Registration Service (BRS) and other relevant regulators.
- Ensure contracts adequately protect the organization’s interests and align with Kenyan law.
- Maintain an up-to-date contracts register, documents registry and monitor obligations, performance, and renewal timelines.
- Provide proactive legal opinions and guidance to management and business units on matters affecting the organization.
- Provide internal training and guidance on legal and compliance matters including data protection and contractual obligations.
- Monitor changes in laws and regulations and advise on compliance requirements.
- Support implementation of compliance frameworks and internal controls.
- Liaise with external legal counsel on litigation and dispute matters, including preparation and filing of documentation. Oversee conveyancing activities across the group.
- Maintain accurate litigation records and provide periodic updates to management on case status and exposure.
- Promote and support the use of Alternative Dispute Resolution (ADR) mechanisms where appropriate.
- Support company secretarial functions including preparation of board papers, minutes, resolutions, and statutory filings.
- Support annual returns, shareholding changes, and corporate restructuring initiatives.
- Identify legal and regulatory risks and recommend appropriate mitigation measures.
- Conduct legal audits and due diligence exercises across departments and business units.
- Maintain effective working relationships with regulators, external law firms, and statutory bodies.
- Act as a key liaison on regulatory and compliance-related matters.
- Offer day-to-day legal support to staff to strengthen compliance awareness and reduce risk.
- Advise management on intellectual property strategy and brand protection.
Key Requirement Skills And Qualification
- An undergraduate degree in Laws (LLB) from an accredited University.
- Must be an Advocate of the High Court of Kenya with at least three (3) years’ relevant post-admission experience, preferably in a corporate or reputable law firm environment.
- Demonstrated knowledge of Kenyan commercial, corporate, and regulatory law.
- Experience in contract drafting, litigation coordination, and regulatory engagement.
- Evidence of continuous learning and execution of new practices needed.
- A self-starter and results-oriented individual with a strong work ethic and a drive to succeed.
